3.2 eBay Account Connection

• You must have a valid eBay seller account to use our listing services
• You authorize us to access your eBay account through their official OAuth API
• We will only access your eBay account for the purposes explicitly stated in our Service

4.1 Subscription Tiers

Our Service operates on a tiered subscription model:

• Freemium Model: No Charge (10 listing generations included per month, additional listings generations charged at $1.00 per listing above plan limits)
• Full Subscription Model: $35.99/month (100 listing generations included per month, additional listings generations charged at $0.45 per listing above plan limits)

4.2 Billing Terms

• Subscription fees are billed monthly in advance
• Fees are non-refundable except as required by applicable law
• We may modify pricing with 30 days' notice to existing subscribers
• You authorize us to charge your selected payment method for all applicable fees

4.3 Usage-Based Billing

• Additional listings beyond your plan limits will be charged per the current rate
• Usage is tracked in real-time and billed monthly
• You can monitor your usage through your account dashboard

5.1 Content Responsibility

You are solely responsible for:

• Accuracy of Product Information: Ensuring all product details, descriptions, and images are accurate and truthful
• eBay Policy Compliance: Complying with all eBay policies, terms of service, and applicable laws
• Legal Compliance: Ensuring your listings comply with all applicable local, state, and federal laws
• Product Authenticity: Verifying that all products listed are authentic and legally owned by you

5.2 Prohibited Uses

You may not use our Service to:

• Create false, misleading, or deceptive listings
• List prohibited, illegal, or restricted items
• Violate any third-party intellectual property rights
• Attempt to manipulate or game eBay's search algorithms
• Upload malicious code, viruses, or harmful content
• Reverse engineer, copy, or redistribute our AI models or technology

5.3 Content Ownership and License

• You retain ownership of all content you upload to our Service
• You grant us a limited license to process your content for the purpose of providing our Service
• We may use anonymized, aggregated data to improve our AI models

6.1 Our Intellectual Property

• EZList.AI owns all rights, title, and interest in the Service, including AI models, algorithms, and software
• Our trademarks, logos, and branding are protected intellectual property
• You may not copy, modify, reverse engineer, or create derivative works of our Service

6.2 User Content

• You represent that you own or have the necessary rights to all content you upload
• You are responsible for ensuring your content does not infringe on third-party rights
• We respect intellectual property rights and will respond to valid DMCA takedown notices

7.1 AI Accuracy Disclaimer

• Our AI generates listing content as suggestions only
• You must review and verify all AI-generated content before publishing
• We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content
• You acknowledge that AI systems may produce errors or inaccuracies

7.2 Listing Verification

• You must verify all product details, pricing, and specifications before publishing
• You are responsible for ensuring item condition descriptions are accurate
• We recommend cross-checking AI pricing suggestions with current market data

8.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Accuracy of AI-generated content
• Uninterrupted service availability
• Compatibility with eBay's current policies
• Success of your listings or sales

8.2 Liability Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability shall not exceed the fees you paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, or consequential damages
• We are not responsible for eBay policy violations or account suspensions resulting from your listings
• We do not guarantee any specific sales results or eBay ranking improvements

8.3 eBay-Related Disclaimers

• We are not affiliated with or endorsed by eBay Inc.
• We cannot guarantee continued compatibility with eBay's systems or policies
• eBay policy changes may affect Service functionality without notice
• You acknowledge that eBay may reject or remove listings for any reason

10.1 Termination Rights

• Either party may terminate this agreement at any time with or without cause
• We may suspend or terminate your account for violations of these Terms
• You may cancel your subscription through your account settings

10.2 Effect of Termination

• Upon termination, your access to the Service will cease immediately
• We will retain your data according to our Privacy Policy and legal requirements
• Outstanding fees remain due and payable
• Sections relating to liability, indemnification, and dispute resolution survive termination

11.1 Data Processing

• We collect and process your data according to our Privacy Policy
• You consent to our collection and use of your information as described in our Privacy Policy
• We implement appropriate security measures to protect your data

11.2 eBay Data

• We access your eBay account only through official OAuth protocols
• We store your eBay authentication tokens securely and encrypted
• We do not store your eBay password or other sensitive credentials

12.1 Governing Law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict of law principles.

12.2 Dispute Resolution Process

• Before filing any legal action, you must attempt to resolve disputes through direct communication with our support team
• If informal resolution fails, disputes will be resolved through binding arbitration
• Arbitration will be conducted according to the rules of the American Arbitration Association

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EZList.AI.

We are not liable for any failure to perform due to circumstances beyond our reasonable control.
